Til den, det vedrørerErhvervs- og Selskabsstyrelsen har udarbejdet vedlagte udkast til forslag til lov om ændring aflov om aktie- og anpartsselskaber (selskabsloven).Lovforslaget implementerer ændringsdirektiv 2009/109/EF, der vedrører fusioner ogspaltninger samt grænseoverskridende fusioner, for så vidt angår rapporterings- ogdokumentationskrav.Med den seneste ændring, som ændrer Rådets direktiv 77/91/EØF (kapitaldirektivet),78/855/EØF fusionsdirektivet), 82/891 (spaltningsdirektivet) samt direktiv 2005/56/EF(direktiv om grænseoverskridende fusioner), er der indført yderligere muligheder for bl.a.fravalg af dokumenter. Som konsekvens af gennemførelsen af direktiv 2009/109/EF foreslåsdesuden ændringer i de nationale regler om henholdsvis grænseoverskridende fusioner ogspaltninger.Herudover foreslås en række præciseringer af selskabsloven. Der foreslås desuden entilpasning af reglerne om omdannelse af andelsselskaber til aktieselskaber svarende tilændringerne i reglerne om fusioner og spaltninger, da omdannelsesreglerne for andelsselskaberer udarbejdet med fusions- og spaltningsreglerne som model, hvilket skyldes, at hensynene ividt omfang er de samme.Styrelsen skal anmode om at modtage eventuelle bemærkninger senest fredag den 20. august2010, kl. 12.00.Høringssvarene skal sendes til Anja Lamp Sørensen ([email protected]).
